Yeah, Elon gets his long delayed 2018 pay package, now worth $155B.

Stupid, the lower court ruled paying him what he was owed was unfathomable, and decide he shouldn't get paid at all.

Delaware is losing its grip as the place for corporate "legal homes". Texas is the new legal home for Tesla and others.

Its like saying Mike Elko should take $1 because he is rich enough, and that he shouldnt get his playoff bonus this year because that takes advantage of the school.

The point of these packages from the shareholder POV is to incentivize Musk to focus on this company and achieve the goals that leads to these payouts

He has to drive up the value of the shares to earn that package and if he does good for him. I still think the stock is overvalued by about 100x by actual enterprise value, but good for him for selling a gee whiz future that has pumped up the price.

You worry about money. He worries about corporate influence. You look at his pay package as the dollar value. He looks at it as how much voting power he has.

Every tranche of this compensation package has already been achieved, and were achieved ahead of schedule. Same will be true for the 2025 package.

My understanding is that those milestones were related to market capitalization, rather than actual revenue and profit targets. My internal valuation of tesla is based on what it is actually producing and I think that its future valuation is based on fairy dust and lots of folks will lose their shirt and Musk's paper worth will shrink tremendously. But, hey, the market has spoken and Mr. Musk should be paid.

2012 required the stock to increase from $3.2 billion to $43.2 billion and had these additional requirements:

Model X alpha prototype completion.
Model X beta prototype completion.
First Model X production vehicle.
Aggregate vehicle production of 100,000.
Model 3 alpha prototype completion.
Model 3 beta prototype completion.
First Model 3 production vehicle.
Aggregate vehicle production of 200,000.
Aggregate vehicle production of 300,000.
Gross margin of 30%+ for four consecutive quarters

2018 required the stock to increase from $59 billion to $650 billion and also required that revenue increase from $20 billion to $175 billion in 8 separate milestones and for adjusted EBITDA to increase from $1.5 billion to $14 billion in 8 separate milestones. He had to hit one revenue or EBITDA milestone as well as one market cap milestone to unlock each of the 12 tranches.


2025 he has to double the market cap from when the vote occurred (to $2T) for the first tranche, then $500 billion increments to $6.5T, then the final two tranches are $1T increments to $7.5T and $8.5T and hit either an EBITDA target ($50B up to $400B annual in $50B increments) or 20 million vehicles delivered, 1 million optimus robots delivered, 10 million active FSD subscriptions, or 1 million robotaxies in operation.

People don't hate people just because they got rich. It is how they got rich. By bending rules, by doing unethical stuff? I don't believe that Musk made his 700B fully clean and ethical. If you believe that you are very naive. I am sure he's bribed politicians also. He tried to get Trump to not go after H1Bs but he failed miserably and got booted out (good job Trump).

So I don't care if Musk makes $10T (legally). But I do condemn him if he screwed his employees over and gave them no raises or bonuses and made them work insane hours without extra pay just so he can make his trillion.

I am suspicious of his power. He has a LOT of money so he does have a lot of power. He can get things done that you and I cannot. Doors open for him. That is dangerous.

Tesla has had pretty generous employee stock awards since it went public, making millionaires out of line workers. You're just talking out of your ass to justify your dislike for rich people. They had the highest total compensation to their manufacturing employees in the industry for years.

Assume they **** over their employees, assume they engage in corruption to validate your arguments.

Trump is a fan of H1-B's and Musk leaving had nothing to do with Trump disagreeing with Musk on H1-B's.

He should have leveraged his equity to go private when the Model 3 had them on the verge of bankruptcy. Instead he bet his entire fortune to keep suppliers paid, the lights on, and payroll funded.

He slums around more than any billionaire on the planet. He isn't asking for $1T he's asking for increased control so he doesn't have to fend off short sellers like Bill Gates.

And, Elon really did put it 'all on the line' to make the company work. I think a lot of folks don't realize that this isn't actually ancient history.
